GENERAL TERMS AND CONDITIONS OF SALE

1. Preamble

These General Terms and Conditions of Sale govern the purchase of products marketed on the website www.bottaeb.it (hereinafter "Website"), owned by Botta & B S.r.l., with registered office at Corso Nizza 1, 12100 Cuneo (CN), Italy, VAT/Tax Code IT01770300042, REA CN-136125 (hereinafter "Botta & B"). The purchase of products through the Website implies the full and unreserved acceptance of these conditions by the user (hereinafter "Customer").

2. Scope of Application

These terms and conditions apply to all sales made by Botta & B S.r.l. both to private consumers (natural persons purchasing for purposes unrelated to any entrepreneurial, commercial, craft, or professional activity) and to professional clients (with a VAT number), unless expressly specified otherwise for each category.

3. Product Information

All products are described in detail within their respective product pages on the Website in a clear, transparent manner, and in compliance with current legislation. Product images are for illustrative purposes only; minor color variations may occur due to screen resolution or display settings on the Customer's device.

4. Prices

All prices are displayed in Euros (€) and are inclusive of VAT for sales within the European Union. For sales to non-EU countries, prices are listed on a DDU (Delivered Duty Unpaid) basis, excluding Italian VAT, local customs duties, and import taxes, which remain the sole responsibility of the Customer. Shipping costs are indicated separately prior to order confirmation.

5. Purchasing Procedure and Conclusion of Contract

To place an order, the Customer must:

• Select the desired products and add them to the shopping cart;

• Complete the order form with all required shipping and billing details;

• Expressly accept these General Terms and Conditions of Sale;

• Proceed with payment using the chosen payment method.

The sales contract is deemed concluded when Botta & B sends an order confirmation email to the Customer summarizing the purchase details.

6. Product Availability

Product availability is constantly updated on the Website. Should an item become unavailable after an order has been placed, the Customer will be promptly contacted by customer service to arrange a replacement, a store credit/voucher, or a full refund of the amount paid.

7. Shipping, Delivery, and Transfer of Risk

Shipping methods, costs, and estimated delivery times are detailed on the Shipping & Returns page. Deliveries are handled via express couriers.

In accordance with Article 63 of the Italian Consumer Code, the risk of loss or damage to the goods is transferred to the consumer Customer only when the latter (or a designated third party) acquires physical possession of the products. Customers are strongly advised to inspect the packaging upon delivery and to sign "subject to inspection" if the parcel appears damaged or tampered with.

8. Payment Methods

Payment for purchased products may be made via:

• Credit / Debit Cards and PayPal (secured by Stripe / PayPal gateways);

• Apple Pay and Google Pay;

• Klarna (payment split into 3 interest-free installments);

• Advance Bank Transfer;

• Cash on Delivery / COD (available for Italy only, with a fixed surcharge of €6.00).

9. Right of Withdrawal, Exchanges, and Returns

Pursuant to Article 52 et seq. of Italian Legislative Decree 206/2005 (Consumer Code), consumer Customers have the right to withdraw from the purchase contract, without specifying any reason, within 15 days of receiving the goods.

• How to Request: Returns can be initiated through the "Returns" section of the user account or by emailing ecommerce@bottaeb.it.

• Conditions: Items must be returned unworn, unwashed, undamaged, fitted with all original tags/security seals, and in their original packaging (including shoe boxes and accessories).

• Size Exchange / Replacement: The first size exchange or replacement is free of charge within Italy and the European Union.

• Return for Refund: Upon return approval, Botta & B will provide a return shipping label. The Customer may drop off the parcel at a Punto Poste location (Italy) or a UPS Access Point (International). Return shipping costs will be deducted from the final refund (Italy: €10.00 | EU: €20.00 | Non-EU: €30.00 + applicable customs duties and clearance fees incurred).

• Refund Processing Time: Refunds will be processed within 3 business days of receiving and inspecting the returned goods at our warehouse, using the original payment method.

10. Legal Warranty of Conformity

• Consumers: Products purchased by consumer Customers are covered by a 24-month legal warranty of conformity under Articles 128 et seq. of the Italian Consumer Code. Consumers are entitled to have the goods brought into conformity free of charge by repair or replacement.

• Professionals: For Customers purchasing with a VAT number, the warranty for defects in the sold item is governed by the Italian Civil Code and has a duration of 12 months.

11. Limitation of Liability

Botta & B S.r.l. shall not be held liable for failure or delay in performing its contractual obligations if such failure or delay is caused by force majeure, unforeseeable events, or internet network disruptions not attributable to the company.

12. Personal Data Protection

Personal data collected for order management is processed in full compliance with EU Regulation 2016/679 (GDPR). The complete policy is available in the Privacy Policy section of the Website.

13. Applicable Law, Jurisdiction, and Dispute Resolution

These General Terms and Conditions of Sale and any contracts entered into hereunder are entirely governed by Italian law.

• Consumer Jurisdiction: For any civil dispute arising from the interpretation or execution of these conditions between Botta & B S.r.l. and a consumer Customer, exclusive territorial jurisdiction belongs to the court of the place of residence or domicile of the consumer, provided it is located within Italian territory.

• Alternative Dispute Resolution (ADR): Consumers may resort to out-of-court dispute resolution (ADR) procedures in accordance with the provisions of the Italian Consumer Code.
